TRUE Fitness Treadmill Giveaway Sweepstakes Rules

No purchase is necessary to enter or win. A purchase will not increase your chances of winning. All federal, state, local, and municipal laws and regulations apply. Void IN NEW YORK, FLORIDA, ALASKA, HAWAII AND where prohibited.

1. Sweepstakes Period

TRUE Treadmill Giveaway Sweepstakes (the “Sweepstakes”) begins at 9:00 A.M. United States Central Time (“CT”) on January 25, 2023 and ends at 11:59 P.M. CT March 25, 2023 (the “Sweepstakes Period”).

2. Eligibility

The Sweepstakes is open to individuals who are 18 years of age or older and who are legal residents of the 50 United States, excluding New York, Florida, Alaska and Hawaii as of date of entry (“Entrant”). Employees of TRUE Fitness Technology, Inc. (“Sponsor”), Facebook, Instagram, LinkedIn and each of their respective affiliates, subsidiaries, advertising and promotion agencies, and partners (collectively, “Released Parties”), and their immediate family members (spouses, parents, children, and siblings and their spouses) and household members of each (whether related or not) are not eligible to participate or win. All applicable laws and regulations apply. Void in New York, Florida, Alaska and Hawaii, and where prohibited by law.

3. How to Enter

During the Sweepstakes Period, you may enter by visiting the TRUE Fitness Treadmill Giveaway Sweepstakes website (https://shop.truefitness.com/true-treadmill-giveaway) and following the directions provided to fill out the entry information (the “Entry Form”) and, submit to receive one (1) entry into the Sweepstakes. Entrants may be required to submit certain personal information including, but not limited to, the entrant’s first and last name, email address, phone number and social media account information (in order to track bonus entries as set forth below). Bonus entries may be earned by completing additional tasks:

• Five (5) bonus entries for uploading an picture of yourself with TRUE Equipment or TRUE Gear
• Ten (10) bonus entries for following Sponsor on Instagram*
• Two (2) bonus entries for submitting secret code TRUEFit1
• Seven (7) bonus entries for following Sponsor on LinkedIn**
• Five (5) bonus entries for Referring a Friend***
• Three (3) bonus entries for retweeting the Sweepstakes Twitter post made by Sponsor****
• One (1) bonus entry for following TRUE Fitness on Twitter****
• Four (4) bonus entries for visiting TRUE Fitness on Facebook*****
• Two (2) bonus entries for using Secret Code
• Three (3) bonus entries for visiting sponsor website
• Two (2) bonus entries for subscribing to sponsor Youtube channel

*You must log into the Instagram account associated with your Entry Form.  In order for your entry to be valid, your Instagram profile must be public and thus viewable by the Sponsor and its agents. If you do not have the Instagram App, you may download it through the application store on your mobile device. Creating an Instagram account is free, but is subject to Instagram’s terms and conditions (http://instagram.com/about/legal/terms/#).

**You must log into the LinkedIn account associated with your Entry Form.

***Referred friends must be at least 18 years of age or older as of date of referral and must be legal residents of the 50 United States, excluding New York, Florida, Alaska and Hawaii.

Each Sweepstakes Entry Form and entry activity set forth above shall hereinafter be referred to as a “Submission”.

Provided an entrant’s Submission conforms to these Official Rules, upon posting a Submission, each entrant will receive the number of entries into the Sweepstakes set forth above.

Standard data/usage rates from your online/phone service provider may apply. Limit no more than fourty-five (45) total entries per person.  Entries received from any person, e-mail address, or household in excess of the stated limitation will be void. All entries become the property of Sponsor and will not be acknowledged or returned. Released Parties are not responsible for lost, late, damaged, incomplete, postage due, misdirected, unintelligible, returned, or undelivered entries or mail, theft or destruction or unauthorized access to or alterations of Submissions, or for lost, interrupted or unavailable satellite, network, server, Internet Service Provider (ISP), website, or other connections availability, accessibility or traffic congestion, miscommunications, failed computer, network, telephone, satellite or cable hard ware or software or lines, or technical failure, or jumbled, scrambled, delayed or misdirected transmissions, computer hardware or software malfunctions, failures or difficulties, or other errors of any kind whether human, mechanical, electronic or network.

By submitting a Submission, Entrants agree that it conforms to the guidelines below and that Sponsor, in its sole discretion, may remove any Entrant’s Submission and/or disqualify an Entrant from the Sweepstakes if it believes the Entrant’s Submission fails to conform.

Submission Guidelines:

• The Submission description, if any, must be in English.
• The Submission must be the sole, original work of the entrant.
• The Submission must not include any private information of a third party such as name, address, phone number, or email address (except with regard to Friend Referrals).
• Submissions may not include the image of any individual under the age of 18.
• The Submission must not include brand names or trademarks other than those owned by Sponsor, which entrant has a limited license to use to create and upload a Submission in this Sweepstakes.
• The Submission must comply with all applicable laws as well as all applicable policies of Sponsor and/or Instagram, as applicable.
• The Submission must conform to the standards and practices of Sponsor, Facebook, LinkedIn, Twitter and Instagram, as applicable, and may not be offensive, as determined by Sponsor in its sole discretion, and may not defame or invade the publicity, privacy or intellectual property rights of any person (living or deceased) or entity, or otherwise infringe upon any person or entity’s rights.
• The Submission may not disparage the Sponsor, Facebook, LinkedIn, Twitter, Instagram, or any parent, subsidiary or affiliate thereof, nor any of the products or services of the Sponsor.
• The Submission must be in good taste and appropriate for a family audience (as determined by Sponsor in its sole discretion) and may not contain nudity, obscenity, profanity, indecent material, lewd acts, references to violence, or demean any gender, race, religion or sexual orientation.

4. Winner Selection

The Grand Prize Winner will be selected in a random drawing conducted by Sponsor from among all eligible entries received throughout the Sweepstakes Period, on or about March 27th, 2023. Odds of winning depend on the total number of eligible entries received throughout the Sweepstakes Period.

The decisions of Sponsor will be final as to all matters, including, but not limited to, whether entries are received timely, whether entries are eligible, or whether an Entrant should be disqualified.

ALL POTENTIAL WINNING ENTRIES ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING. AN ENTRANT IS NOT A WINNER OF ANY PRIZE, UNLESS AND UNTIL ENTRANT’S ELIGIBILITY AND THE POTENTIAL WINNING ENTRY HAS BEEN VERIFIED, ALL NECESSARY DOCUMENTS HAVE BEEN RETURNED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. ANY ENTRY THAT OCCURS AFTER THE SYSTEM HAS FAILED FOR ANY REASON IS DEEMED A DEFECTIVE ENTRY, IS VOID, AND WILL NOT BE HONORED.

5. Prize and Approximate Retail Value (“ARV”)

One (1) Grand Prize will be awarded, consisting of:  One (1) TRUE Performance 800 Treadmill (ARV: $5,799 USD) with standard delivery and installation.

TOTAL ARV OF ALL PRIZES:  $5,799.00 USD

Any taxes on the prizes are the sole responsibility of the winner. The Winner must provide the Sponsor with a valid Social Security number or taxpayer-identification number before the Sponsor can award the prize. A Form 1099 will be issued to Grand Prize winner. No cash alternative or prize substitution will be allowed, except in Sponsor’s discretion. Sponsor reserves the right to substitute a prize of equal or greater value. If the actual value of the prize is less than the ARV stated herein, the prize winner will NOT be entitled to a check, cash or other form of payment for the value difference.

No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming, or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.

All expenses relating to acceptance and use of the prize that are not explicitly listed herein as being awarded are the sole responsibility of the winner. Prizes will be awarded “as is” with no warranty or guarantee, either express or implied, offered by Sponsor. Released Parties are not responsible for damage to a prize or loss of a prize after the prize has been claimed.

Winner is solely responsible for any taxes on the prize, including, but not limited to all applicable federal, state, and local taxes that become due with respect to the value of the prize.

WINNER ACKNOWLEDGES THAT PRIZES ARE AWARDED AS-IS. RELEASED PARTIES MAKE NO WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, LEGAL COMPLIANCE WITH RESPECT TO APPLICABLE LAWS OR NON-INFRINGEMENT AS REGARDS TO ANY PRIZE OR ANY COMPONENTS OF ANY PRIZE. VOID WHERE PROHIBITED, AS SOME JURISDICTIONS MAY NOT ALLOW LIMITATIONS OF EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES.

6. Winner Notification

The potential Grand Prize winner will be notified at the e-mail address affiliated with their entry or by U.S. Mail and will need to sign a Declaration of Compliance and return it to Sponsor within five (5) days of the date notice or attempted notice is sent, in order to claim his/her prize. Noncompliance within this time period may result in disqualification and an alternate winner being selected. If a potential winner cannot be contacted, fails to sign and return the required documentation within the required time period, fails to respond to any communication from Sponsor within five (5) days, or if a prize or prize notification is returned as non-deliverable, the potential winner will be disqualified and the prize will be forfeited and an alternate winner will be selected and notified as indicated above.  All prizes will be awarded if possible. Prize will be fulfilled approximately 1-2 weeks after the conclusion of the Sweepstakes.

7. General Rules

By participating in this Sweepstakes, Entrants agree to be bound by these Official Rules and the decisions of the Sponsor. If winner is a minor in his/her jurisdiction of residence, prize will be awarded in the name of parent or legal guardian, who will be required to sign all documents and fulfill all required conditions as set forth in these Official Rules. By entering the Sweepstakes and/or accepting the prize, Entrants and winner (or parent/legal guardian for a minor Entrant or winner) agrees that the Released Parties and those acting under the Released Parties’ authority may use the Entrant’s or winners’ name, voice, statements, photograph, likeness, recorded performance and/or biographical information, in whole or in part, on the internet and in all media now known or hereinafter developed, in perpetuity throughout the world, for all purposes, including, without limitation, the purposes described in these Official Rules and for general promotional and advertising purposes, without further permission or compensation., without restriction as to alteration, without any rights to notice, consent, review, or approval, where permitted by law.. By entering, Entrants grant a perpetual, royalty-free and worldwide license to Sponsor of all intellectual property rights in their Submissions. Pursuant to the license granted herein, Entrants agree that Sponsor shall have the right to use, edit, adapt, modify, reproduce, promote, display, distribute, perform, assign and otherwise use Submissions in any way they see fit without compensation to Entrants. If requested, Entrant will sign any documentation required for Sponsor or their respective designees to make use of the non-exclusive rights entrant is granting to use their Submissions.  By accepting the prize, winner (or parent/legal guardian for a minor winner) agrees that the Released Parties have no liability whatsoever for, and will be held harmless by Entrants for any liability injury, claims, loss, damages , lawsuits, judgments, proceedings, fines, penalties, liability (including, but not limited to, liability for defamation, libel, slander, invasion of privacy, infringement of publicity or any intellectual property rights, any property loss, damage, personal injury, bodily injury, death, expense, accident, delay, inconvenience or irregularity, and any indirect, incidental, consequential, special, punitive or exemplary damages of any kind even if the Released Parties have been advised of the possibility of such loss or damages), costs and expenses (including, without limitation, reasonable outside attorneys’ fees) that may arise in whole or in part, directly or indirectly, in connection with  the acceptance, possession, use or misuse of prize or participation in this Sweepstakes. Released Parties are not responsible for any typographical or other error in the printing of the Sweepstakes materials or the offering or announcement of the prizes. If for any reason the Sweepstakes is not capable of running as planned, including due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure, human error or any other causes beyond the control of Sponsor that corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Sweepstakes, Sponsor reserves the right in its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes and award the prize in a random drawing from among all eligible entries received prior to cancellation. Released Parties are not responsible for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of entry. Released Parties are not responsible for: (a) incorrect or inaccurate transcription of entry information or late, mistranscribed, illegible or postage-due mailed entries or delayed or incomplete entries received through impermissible or illegitimate channels, all of which will be disqualified; (b) technical failures of any kind, including but not limited to the malfunctioning of any telephone, computer online systems, computer equipment, website, server provider, network, hardware or software; (c) the unavailability or inaccessibility of any website/application or service; (d) unauthorized intervention in any part of the entry process or this Sweepstakes; or (e) printing, typographical, electronic or human errors which may occur in the Sweepstakes or administration of this Sweepstakes or the processing of entries. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY TRUE FITNESS WEBSITE OR APPLICATION OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of any dispute regarding these rules printed in other languages, the English version of these rules will govern and prevail.

8. Disputes

Entrants/winner (or parent/legal guardian for any minor Entrant/winner) agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or the prize awarded shall be resolved individually, without resort to any form of class action, and solely and exclusively by the United States Federal Court located in St. Louis County, Missouri or the appropriate State Court located in Saint Louis County, Missouri in the U.S..  Entrants/winner (or parent/legal guardian for any minor Entrant/winner) submit to sole and exclusive personal jurisdiction to said courts for any such dispute and irrevocably waives any and all rights to object to such jurisdiction; (b) any and all claims, judgments, and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering this Sweepstakes but in no event shall attorneys’ fees be recoverable; and (c) under no circumstances will Entrants/winners be permitted to obtain awards for and Entrants/winners (or parent/legal guardian for any minor Entrant/winner) hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Entrants/winner or the Sponsor and its agencies in connection with this Sweepstakes shall be governed by, and construed in accordance with, the laws of the state of Missouri in the U.S., without giving effect to any choice of law or conflict of law rules of provisions (whether of the state of Missouri, the United States, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the state of California in the U.S.

9. Privacy/Compliance

Any personal information that you provide in connection with the Sweepstake shall be used by Sponsor to administer this Sweepstakes, contact Entrants, and for the other purposes set forth in the Sponsor’s privacy policy located at https://shop.truefitness.com/privacy-policy/. By entering this Sweepstakes, you agree to Sponsor’s collection of personal information and accept their privacy policy. If Entrant authorizes, by opting in, Sponsor may provide Entrant with information relating to products, services and promotions of Sponsor and affiliates of Sponsor.
